This Membership Agreement (this “Agreement”) is made and entered into as of the date of submission (the “Effective Date”) by and between The Renovation Room, LLC (“The Renovation Room”) and the undersigned contractor (“Member”).
By completing and submitting this Membership Agreement, the Member agrees to be legally bound by the terms and conditions herein. The Member further acknowledges that this agreement constitutes a binding contract with The Renovation Room, LLC, and confirms their understanding that fees and dues associated with membership are non-refundable unless otherwise specified.

AGREEMENT
​
1. MEMBERSHIP LEVELS, QUALIFICATIONS, DUES & FEES. IMPORTANT: Based upon its class of membership (i.e., fully or associate member), Member shall be entitled to the benefits provided in this Agreement, The Renovation Room, LLC corporate bylaws, as in effect and as amended from time to time ("Bylaws") and as may be updated at any time by The Renovation Room, LLC. Subject to the terms and conditions of this Agreement and the Bylaws, Member agrees to be a Member of Therenovationroom.com in the class designated on the signature page of this Agreement.

2. MEMBERSHIP TERM & TERMINATION.
(a) Term of Agreement.
This Agreement begins on the Effective Date and continues until the Member’s membership is terminated, canceled, or expires (“Term”). Unless terminated as provided herein, the Agreement will automatically renew annually based on the Effective Date. Members are responsible for all dues and fees accrued prior to the effective date of termination. This Agreement shall be suspended if the Member’s Renovation Room membership is suspended.
(b) Termination for Cause.
The Renovation Room, LLC reserves the right to terminate this Agreement at its sole discretion if the Member breaches any terms or conditions. In such cases, no refund will be issued for any dues or fees already paid.
(c) Termination for Convenience by The Renovation Room.
The Renovation Room, LLC may terminate this Agreement for any reason by providing at least five (5) business days’ written notice. If terminated under this provision, a prorated refund of annual membership dues will be issued based on the termination date.
(d) Termination by Member.
Members may cancel their membership at any time. However, The Renovation Room, LLC will not provide refunds for any dues, fees, or charges paid prior to termination. Termination does not release the Member from outstanding obligations or liabilities accrued prior to termination.
(e) Refund Policy.
IMPORTANT: Membership fees are non-refundable. Members may cancel at any time, but no refunds will be issued for any dues, fees, or charges already paid. This policy applies regardless of Member’s level of participation or service usage.
3. PAYMENT OF DUES AND FEES.
The Member agrees to pay all dues, fees, and assessments associated with their membership level, as determined by The Renovation Room, LLC and updated from time to time. Member acknowledges that dues may be collected via recurring automatic payments unless otherwise agreed in writing.The Renovation Room, LLC reserves the right to establish reasonable additional fees for optional services, such as participation in special events, meetings, training sessions, or access to premium member benefits. All expenses incurred by the Member in connection with their participation—such as travel, accommodations, employee compensation, and incidental costs—are the sole responsibility of the Member and will not be reimbursed by The Renovation Room, LLC.
4. APPROVAL OF BYLAWS. Member affirms they have reviewed, understand, and agree to abide by the current and future Bylaws of The Renovation Room, LLC as a condition of membership..
5. CONFIDENTIAL INFORMATION, PRIVACY, AND SECURITY. (a) Member agrees not to share project leads, client information, or internal communications from The Renovation Room, LLC with non-members. All such materials are considered confidential and proprietary..

6. NO JOINT LIABILITY. Nothing in this Agreement shall be deemed to create a joint, venture, partnership, or agency relationship between TheRenovationRoom.com and Member or to make the Parties jointly liable for any obligation arising out of the activities and services contemplated by this Agreement.
7. WAIVER OF LIABILITY AND CHARGEBACK PROTECTION
Member hereby waives and releases any, and all claims, actions, causes of action, losses, and damages of any kind or nature, whether known or unknown, against The Renovation Room, LLC and its affiliates, officers, agents, and representatives (the “Indemnified Parties”) arising directly or indirectly from Member’s participation in or use of services provided through The Renovation Room.
This includes, but is not limited to, any claims related to the use of the website, access to project leads, or any other benefit of membership.
Member further agrees not to dispute or charge back any membership payments once services have been accessed, membership benefits received, or participation has begun, unless otherwise specified in this Agreement.
This waiver applies to all forms of liability — including direct, indirect, special, incidental, consequential, exemplary, contractual, statutory, or tort-based damages — regardless of whether the Indemnified Parties were aware or should have been aware of the possibility of such damages.
This Waiver of Liability shall be enforceable to the fullest extent permitted under applicable law.
8. MEDIA RELEASE AND PROMOTIONAL USE
By becoming a Member of The Renovation Room, LLC, the Member grants The Renovation Room, LLC the irrevocable right and permission to use the Member’s name, business name, logo, likeness, image, photographs, video content, and project-related materials submitted or publicly available for purposes of marketing, advertising, promotional materials, website content, social media, and other related business activities.
This release includes, but is not limited to, use in digital, print, or video formats. The Member understands and agrees that they will not receive compensation for such use, and waives any right to inspect or approve the finished product wherein their likeness or work appears.
If at any time a Member wishes to opt out of this promotional use, they must notify The Renovation Room, LLC in writing. Any such opt-out will apply prospectively and will not affect materials already produced or published prior to receipt of written notice.
